1. Scope and Agreement

● These Terms and Conditions (“Terms”) outline the legally binding agreement between you (the “User”) and ESTAIE TECH FZ LLC (“ESTAIE TECH”, “we”, “us”) regarding your use of our website, products, services, and all related content (collectively, the “Services”).

● By accessing or using the Services, you indicate your understanding of and unconditional agreement to be bound by these Terms. If you do not fully agree, you are not authorized to use the Services.

2. Code of Conduct

● Respect for Dubai Laws and Culture: You agree to abide by all applicable laws, regulations, and customs of Dubai, United Arab Emirates. This includes refraining from any actions that could be considered disruptive or offensive to the local culture and values.

● Professional Conduct: You will interact with ESTAIE TECH personnel, other users, and any third parties involved in the provision of the Services with respect and professionalism. Any form of discrimination, harassment, or threatening behavior is strictly prohibited.

● Ethical Use: You agree to use the Services in an honest, ethical, and fair manner. You will not engage in any fraudulent, deceptive, or misleading activities.

3. Intellectual Property

● Ownership: ESTAIE TECH FZ LLC or its licensors exclusively own all intellectual property rights inherent in the Services, including, but not limited to, code, designs, trademarks, trade secrets, and content. These Terms do not grant you any ownership interest in ESTAIE TECH FZ LLC’s intellectual property.

● Limited License: You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms and solely for the intended purposes.

● Restrictions: You may not reproduce, modify, distribute, publicly display, or create derivative works from ESTAIE TECH FZ LLC’s intellectual property without express written permission. Any unauthorized use may result in legal action.

4. Confidential Information

● Definition: “Confidential Information” encompasses any non-public information disclosed by ESTAIE TECH FZ LLC, whether designated as confidential or not. This may include customer data, trade secrets, business plans, technical specifications, and other sensitive information.

● Protection: You agree to maintain the confidentiality of all Confidential Information and refrain from disclosing it to any third party without ESTAIE TECH FZ LLC’s prior written consent.

● Duty of Care: You will protect Confidential Information with the same degree of care you would use for your own confidential information, and at a minimum, with a reasonable standard of care.

● Exceptions: Confidential Information excludes information that:

○ Is already publicly known or becomes so through no fault of yours.

○ Was lawfully in your possession before disclosure by ESTAIE TECH FZ LLC.

○ Is rightfully received from a third party without confidentiality restrictions.

○ Must be disclosed due to a legal order, provided you give ESTAIE TECH FZ LLC prompt notice and cooperate with any efforts to contest such disclosure.

5. User Content

● Responsibility: You retain ownership of content you submit to the Services (“User Content”). You bear sole responsibility for ensuring the accuracy, legality, appropriateness, and compliance of your User Content with applicable Dubai laws and customs.

● License to ESTAIE TECH FZ LLC: By submitting User Content, you grant ESTAIE TECH FZ LLC a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, distribute, modify, and publicly display your User Content in connection with providing the Services.

● Prohibited Content: You agree not to submit User Content that is unlawful, harmful, offensive, defamatory, infringing upon intellectual property rights, violating ESTAIE TECH FZ LLC’s policies, or in breach of Dubai’s local customs and laws.

6. Disclaimers

● ESTAIE TECH FZ LLC provides the Services on an “AS IS” and “AS AVAILABLE” basis. We make no express or implied warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.

● ESTAIE TECH FZ LLC does not guarantee uninterrupted, error-free, or completely secure access to the Services.

7. Limitation of Liability

● ESTAIE TECH FZ LLC will not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Services, even if informed of such possibility.

● ESTAIE TECH FZ LLC’s total liability to you shall not exceed 10 AED or the amount you paid for the Services in the past 3 years, whichever is greater.

8. Indemnification

● You agree to defend, indemnify, and hold harmless ESTAIE TECH FZ LLC, its affiliates, officers, directors, employees, and agents from and against any claims, damages, costs, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to your breach of these Terms or your use of the Services.

9. Termination

● ESTAIE TECH FZ LLC reserves the right to suspend or terminate your access to the Services at any time, with or without cause or notice.

● Upon termination, your right to use the Services will immediately cease. All licenses and other rights granted to you under these Terms will also end.

10. Governing Law and Jurisdiction

● These Terms and any disputes arising from or related to them shall be governed by and construed in accordance with the UAE federal law.

● Any disputes arising under these Terms shall be resolved exclusively in the courts located in Dubai courts located in Dubai, United Arab Emirates.

● Arabic prevailing in any jurisdiction.

11. Changes to Terms

● ESTAIE TECH FZ LLC reserves the right to modify these Terms at any time. We will notify you of material changes, such as via email or a prominent notice on our website.

● Your continued use of the Services following any changes signifies your acceptance of the new Terms.

12. Non-Competition Agreement

● Scope: During your use of the Services and for a period of [duration 2 years] following termination of those Services or your relationship with ESTAIE TECH FZ LLC, you agree not to directly or indirectly engage in any business or activity that competes with ESTAIE TECH FZ LLC within [UAE and Global].

● Prohibited Activities: This includes, but is not limited to:

○ Developing or providing products or services substantially similar to those offered by ESTAIE TECH FZ LLC

○ Soliciting or hiring ESTAIE TECH FZ LLC’s employees or contractors

○ Sharing ESTAIE TECH FZ LLC’s Confidential Information with any competitor

● Reasonableness: You acknowledge that the restrictions outlined in this Non-Competition Agreement are reasonable in scope, duration, and necessary to protect ESTAIE TECH FZ LLC’s legitimate business interests.

● Severability: If any part of this Non-Competition Agreement is deemed unenforceable by a court, the remaining provisions shall remain valid and in full effect. Important Considerations:

● Enforceability: The enforceability of non-compete agreements varies across jurisdictions. Make sure the scope, duration, and geographical restrictions comply with the specific laws where you operate.

● Consult an Attorney: Always have a legal professional in your jurisdiction review this clause for enforceability and to ensure it aligns with your local labor laws.
